Under the agreement, Veritas Pharma will purchase all outstanding shares of SOM at a price of $800,000, subject to provisions of the closing agreement. The agreement requires the vender and SOM to give Veritas Pharma unlimited access to the operations, assets, properties, and records of SOM to help it familiarize with the operations, assets, records, properties and other matters on continuous basis till the transaction is closed. The agreement requires Veritas Pharma to transfer 1,454,545 shares to the vender to close the transaction, and at that point, it will be deemed to have conducted due diligence to its satisfaction.
