The offering is comprised of 6,250,000 shares of common stock at a public offering price of $1.60 per share, less the underwriting discount. According to the announcement, MultiSensor AI also granted the underwriters a 45-day option to purchase up to 937,500 additional shares. The shares were offered at the public offering price after the deduction of an underwriting discount to cover overallotments; the option was exercised in full and closed with the public offering. Gross proceeds from the offering totaled $11.5 million before underwriting discounts, commissions and offering expenses are deducted. In addition, the company closed the private offering and sale of 2,772,561 shares of its common stock. Gross proceeds from the private offering totaled an estimated $15 million before the deduction of placement agent fees and other estimated offering expenses.
